Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and tryugcai ("tryugcai", "we", "us", "our") and govern your use of the tryugcai website, applications, APIs, and related services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and accounts

• You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
• If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" includes both you individually and that entity.
• You agree to provide accurate information when you register, keep it current, and safeguard your login credentials. You are responsible for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
• One account per person; sharing accounts is prohibited.

2. The Service

The Service uses third-party AI models (including, without limitation, models from OpenAI, Anthropic, and Fal.ai-hosted providers) to generate scripts, voice-overs, avatar video, captions, and stitched final videos from briefs and assets you submit. The Service is provided on a subscription basis at the tiers and prices displayed on our pricing page.

3. Acceptable use

You may not, and may not allow any third party to, use the Service to create, distribute, or facilitate content that:

• infringes any intellectual property, publicity, privacy, or other rights of any person or entity;
• impersonates any real person without that person's verifiable consent, including for political deepfakes, fake endorsements, or fraudulent identity claims;
• promotes or incites violence, terrorism, hate speech, harassment, self-harm, or discrimination on the basis of any protected characteristic;
• depicts sexually explicit material involving minors, or non-consensual sexual content involving adults;
• constitutes fraud, scams, deceptive marketing, securities manipulation, or other illegal commercial activity;
• violates applicable laws including export control, sanctions regulations, or industry-specific regulations (e.g. health claims, financial advice);
• contains malware, attempts unauthorized access, or interferes with the Service, its users, or its infrastructure;
• scrapes the Service except as expressly permitted by us;
• attempts to circumvent rate limits, account-lockout protections, billing, content moderation, or any other technical safeguard.

Briefs you submit are screened by OpenAI's Moderation API before rendering. Briefs that exceed safety thresholds are rejected. We may suspend or terminate accounts that repeatedly trigger moderation flags, that we reasonably believe violate these Terms, or that we are required to suspend by law.

4. Your content and license to us

• You retain ownership of the briefs, scripts, product images, and other materials you submit ("Customer Content") and of the videos generated for you ("Output").
• License to us. You grant tryugcai a worldwide, non-exclusive, royalty-free license to process, store, and transmit Customer Content and Output solely to operate, secure, and improve the Service, including transmission to our sub-processors as listed at /legal/subprocessors. This license terminates when you delete the content, except as necessary for backups (retained per our Privacy Policy) and as required by law.
• We do not train AI models on your content. We contract with our AI sub-processors to disable model training on data we submit to them where the provider offers that contractual control.
• Third-party rights. You are solely responsible for ensuring you have all rights, licenses, and consents necessary for the Customer Content you submit (including any trademarks, brand names, music, product imagery, or person likeness referenced in your briefs or uploaded as assets).
• Stock footage and AI-generated avatars. Output may incorporate stock footage licensed via Pexels (subject to the Pexels license) and synthetic avatar creators generated by our AI providers. These avatars are AI-generated likenesses and do not depict real identifiable individuals.

5. Subscriptions, billing, and refunds

• Paid plans are billed monthly in advance via Stripe. Fees are stated in US dollars and are exclusive of taxes, which we will add where required by law.
• Your subscription automatically renews at the then-current price until you cancel. You can cancel at any time from the Billing page; cancellation takes effect at the end of the current billing period.
• Credits. Each plan includes a monthly allowance of video credits. Unused credits roll over into the next month while your subscription is active; they expire when the subscription ends.
• 14-day refund window. New subscribers may request a full refund within 14 days of the initial payment by emailing [email protected]. Refunds after that window are at our discretion.
• Price changes. We may change prices on at least 30 days' notice by email. The new price applies to your next billing period.
• Chargebacks. If you initiate a chargeback without first contacting us, we may suspend your account pending resolution.

6. Service availability

We target 99.5% monthly uptime measured against the public API + sign-in endpoints. Planned maintenance is announced in advance. The Service depends on third-party AI providers (OpenAI, Anthropic, Fal.ai); outages or rate limits at those providers may affect Service availability. The standard subscription does not include a financial-credit Service Level Agreement; Enterprise customers may negotiate one.

7. Termination

• By you: delete your account from Settings at any time. After the 30-day grace window, your account, videos, and uploaded assets are permanently deleted (subject to the retention exceptions in our Privacy Policy).
• By us: we may suspend or terminate your account for material breach of these Terms, non-payment, abuse, or where required by law. We will give you reasonable notice where practical, and a refund of pre-paid unused fees for the remainder of the billing period unless the termination is for your breach.
• Sections that by their nature should survive (e.g. ownership, disclaimers, limitation of liability, dispute resolution) survive termination.

8. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

AI-generated Output may contain inaccuracies, factual errors, or biased material. You are responsible for reviewing Output before publishing it. We do not warrant that Output will achieve any particular result (engagement, conversion, virality, search ranking).

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRYUGCAI AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY (OR USD $100 IF YOU HAVE NOT PAID US ANY FEES). NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

10. Indemnification

You will indemnify, defend, and hold harmless tryugcai and its officers, directors, employees, and agents from any third-party claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your Customer Content, (b) your Output, (c) your use of the Service in violation of these Terms or applicable law, or (d) your infringement of any third party's intellectual property, publicity, or privacy rights.

11. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. If you are a consumer resident in the EU/UK, the mandatory consumer-protection laws of your country of residence apply to the extent they conflict with this section.

12. Changes to the Terms

We may update these Terms from time to time. Material changes will be notified by email and posted here at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree to a change, your sole remedy is to cancel your subscription before the change takes effect.

13. General

• Entire agreement. These Terms (with the Privacy Policy and any order forms) are the entire agreement between you and tryugcai for the Service.
• Severability. If any provision is held unenforceable, the remainder remains in effect.
• No waiver. Failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or asset sale.
• Notices. We will give you notice by email to your account address. You may give us notice at [email protected].
• Force majeure. Neither party is liable for failures caused by events beyond their reasonable control.
